eBworx Limited
| The Board of Directors of CSE Systems & Engineering Ltd ("the Company") wishes to announce that as part of the restructuring exercise of the Company, the Company has acquired 8,129,964 issued and fully paid up ordinary shares of S$0.04 each in the capital of eBworx Limited ("eBworx") from Tan Suan Fong, Chin Chee Kin and Yee Kok Ann respectively.
The total acquisition price for the 8,129,964 issued and fully paid up ordinary shares of S$0.04 each amounts to US$941,364.25 (equivalent to RM3,577,184.16 or RM0.44 per share). This acquisition has brought the Company's ownership in eBworx from 84.45% to 93.76%. The Company has paid for the purchase consideration in cash using internal resources. eBworx has also concurrently disposed 200,000 ordinary shares of RM1 each in the capital of Digital Nervous System Sdn Bhd ("DNS") to Tan Suan Fong, Chin Chee Kin and Yee Kok Ann respectively for a consideration of US$151,578.95 (equivalent to RM576,000.00 or RM2.88 per share). This disposal has reduced eBworx's ownership in DNS from 100% to 80%. In addition to the above, eBworx has also irrevocably granted to Tan Suan Fong, Chin Chee Kin and Yee Kok Ann respectively the rights to purchase from eBworx ("Option"), up to and subject to a maximum of a further 250,000 ordinary shares of RM1.00 each in the capital of DNS at RM12.00 per ordinary share. This Option is exercisable only on the first anniversary, the second anniversary or the third anniversary from the date of completion. All the considerations were arrived at on willing-buyer, willing-seller basis. The above transactions do not have a material impact on the Company's profit & loss accounts. None of the Directors or substantial shareholders of the Company have any interest in respect of the above transactions. |
