Subscription Of Shares In Wholly-Owned Subsidiaries 1. Myers Systems Pte Ltd 2. Transtel Engineering Pte Ltd 3. CSE-IT Services Pte Ltd 4. CSE-OIS Pte Ltd

The Board of Directors of CSE Global Limited ("the Company") wishes to announce the following:

1. Myers Systems Pte Ltd ("Myers)

The Company has subscribed for an additional 24,500,000 shares of S$1.00 each in the capital of Myers for a consideration of S$24,500,000.

The consideration was offset by an amount owing from Myers to the Company.

After this subscription, Myers remains a wholly-owned subsidiary of the Company.

2. Transtel Engineering Pte Ltd ("Transtel")

The Company has subscribed for an additional 900,000 shares of S$1.00 each in the capital of Transtel for a consideration of S$900,000.

The consideration was offset by an amount owing from Transtel to the Company.

After this subscription, Transtel remains a wholly-owned subsidiary of the Company.

3. CSE-IT Services Pte Ltd ("CSE-IT Services")

The Company's wholly-owned subsidiary, CSE-Infotech Limited ("CSE-Infotech") has subscribed for an additional 5,100,000 shares of S$0.10 each in the capital of CSE-IT Services Pte. Ltd. for a consideration of S$510,000.

The consideration was offset by an amount owing from CSE-IT Services to CSE-Infotech.

After this subscription, CSE-IT Services remains a wholly-owned subsidiary of CSE-Infotech.

4. CSE-OIS Pte Ltd ("CSE-OIS")

The Company's wholly-owned subsidiary, CSE-Infotech Limited ("CSE-Infotech") has acquired 2 shares in the capital of CSE-OIS from the Company for a consideration of S$2.

CSE-Infotech has also subscribed for an additional 99,998 shares of S$1.00 each in the capital of CSE-OIS for a consideration of S$99,998.

The consideration was offset by an amount owing from CSE-OIS Services to CSE-Infotech.

After this acquisition and subscription, CSE-OIS will become a wholly-owned subsidiary of CSE-Infotech.
